Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the services provided by Max Digital Design Co., a digital design company based in Balbriggan, Dublin, Ireland. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Definitions

• Client: The individual or entity entering into an agreement with us for the provision of services.

• Services: The web design, brand building, marketing, ecommerce, and other digital design services we offer.

• Deliverables: The final products or outcomes provided to the Client as part of the Services.

 

2. General Conditions

• Clients must be at least 18 years old to engage our services, any persons younger will need permission in writing from Parent or Guardian.

• We reserve the right to modify these Terms at any time, with prior notice for significant changes.

• Any changes to the Terms will be effective immediately upon posting on our website or notifying you directly.

 

3. Services

3.1 Scope of Services

We provide the following services:

• Custom website design and development

• Brand identity creation

• Marketing and ecommerce solutions

3.2 Changes to Scope

Any changes to the agreed-upon scope of work must be documented and may incur additional costs.

 

4. Fees and Payment

4.1 Pricing

• All prices are quoted in Euro (€) and are inclusive of VAT unless stated otherwise.

• A detailed quote will be provided for each project.

4.2 Payment Terms

• A non-refundable deposit of 50% is required to commence work.

• The balance is due upon completion of the project and before final delivery.

4.3 Late Payments

• Payments not received by the due date may incur interest at a rate of 20% per month.

• We reserve the right to suspend work for unpaid invoices.

 

5. Intellectual Property

5.1 Ownership

• Upon full payment, ownership of deliverables will transfer to the Client.

• We retain the right to showcase deliverables in our portfolio and marketing materials unless expressly forbidden in writing by the Client.

5.2 Third-Party Materials

• Any third-party materials (e.g., fonts, stock images) used in deliverables are subject to their respective licenses.

 

6. Confidentiality

• Both parties agree to keep confidential any proprietary or sensitive information shared during the project.

• This obligation continues indefinitely, even after project completion.

 

7. Data Protection and Privacy

• We comply with the General Data Protection Regulation (GDPR) and Irish data protection laws. (Please see our GDPR Policy here:

• Any personal data provided by the Client will be processed in accordance with our Privacy Policy.

 

8. Liability

8.1 Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages arising from our services.

• Our total liability shall not exceed the amount paid by the Client for the specific project.

8.2 Client Responsibilities

• The Client is responsible for providing accurate information and timely feedback.

• We are not responsible for delays caused by the Client’s failure to meet deadlines.

 

9. Termination

• Either party may terminate the agreement with 14 days' written notice.

• Upon termination, the Client will be invoiced for completed work to date.

• Deposits are non-refundable.

 

10. Governing Law

• These Terms are governed by the laws of Ireland and the European Union.

• Any disputes will be subject to the exclusive jurisdiction of the courts of Ireland.

 

11. Complaints and Dispute Resolution

• Any complaints must be submitted in writing to the owner Jake Donnelly - info@maxdigitaldesignco.com.

• We aim to resolve complaints amicably within 30 days.

 

12. Force Majeure

• We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, or technical failures.

 

13. Entire Agreement

• These Terms constitute the entire agreement between us and the Client and supersede all prior agreements.
